Terms of Service

These Terms of Service ("Terms") govern your access to and use of the WareRent Platform, including any related websites, mobile apps and services (collectively, the "Platform"), operated by RobForge EOOD ("we", "us", "our").

By accessing or using the Platform, you agree to these Terms. If you are using the Platform on behalf of a business, you represent that you have authority to bind that business.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Platform. Businesses must be duly organized and in good standing.

2. Accounts

You must create an account to use most features. You are responsible for the security of the email address and any sign-in methods linked to your account, and for all activity under your account. Notify us promptly of any unauthorized access.

3. Our Role - Important Limitations

WareRent provides a technology platform that enables Warehouses to list props for rental and Renters to discover, request and coordinate those rentals. We are not a party to any rental agreement between a Warehouse and a Renter. We act solely as an intermediary and facilitator.

• All rights, obligations and risks relating to props, pickup, return and condition pass directly between Warehouse and Renter.
• We do not pre-screen, endorse or verify user-generated content (including listings, messages, reviews and ratings), and we do not guarantee the quality, safety, legality or accuracy of any prop or listing, or the performance of any Warehouse or Renter.
• Disputes are primarily between the Warehouse and the Renter; we may offer optional assistance but are under no obligation to mediate.
• Pricing and payment are agreed and settled directly between Warehouse and Renter outside the Platform. WareRent does not process rental fees, deposits, security amounts or any other payments between a Warehouse and a Renter.

4. Warehouse Terms

By listing props, Warehouses agree to:

• Provide accurate, non-misleading prop listings and comply with all applicable laws (including product safety, labeling and intellectual property).
• Honor accepted orders, coordinate pickup and return logistics, and handle disputes consistently with the terms agreed with the Renter and applicable consumer law.
• Pay any applicable WareRent platform or subscription fees (as published in our pricing or set out in a separate agreement). Rental income paid by Renters is collected by the Warehouse directly and is outside the scope of these Terms.
• Not list prohibited items or engage in prohibited activities (counterfeits, unsafe or recalled items, price fixing, illegal goods, etc.).
• Maintain accurate availability and respond to rental requests within a reasonable time.

5. Renter Terms

By placing rental requests, Renters agree to:

• Provide accurate, complete and up-to-date information when registering and ordering.
• Honor confirmed orders, settle agreed rental fees and any deposit directly with the Warehouse, and return props on time and in the agreed condition.
• Comply with the rental, return and damage policies set by each individual Warehouse (subject to mandatory consumer protection laws).
• Not engage in abusive behavior - including fraudulent rental requests, refusal to return props, harassment of Warehouse staff or misuse of the chat and review systems.

6. Platform Fees

WareRent charges Warehouses for access to certain Platform features under subscription plans published on our pricing page. We do not collect, hold or process the rental payments that Renters make to Warehouses - those flow directly between the parties.

• Subscription fees are billed in advance and are non-refundable, except where required by law.
• Plan limits, feature gates and trial terms are described on our pricing page and inside the product.
• If you downgrade or cancel a paid plan, access to plan-restricted features ends at the close of the current billing period.

7. Intellectual Property

You retain ownership of any content you upload or post (prop images, descriptions, logos, etc.). By uploading, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, display, distribute and promote that content solely in connection with operating and marketing the Platform.

• You may not post content that infringes any third-party copyright, trademark, patent or other intellectual property right.
• We respect intellectual property rights and will respond to valid takedown notices. Send notices to legal@robforge.io with the information required by applicable copyright law (identification of the work, the allegedly infringing material, your contact details and a good-faith statement).

8. Prohibited Conduct

You may not use the Platform to:

• List, promote or rent out illegal, counterfeit, unsafe, recalled or otherwise prohibited items.
• Manipulate reviews, ratings, search rankings or any other Platform metrics.
• Engage in fraud, phishing, spam, money laundering or any unlawful activity.
• Scrape, crawl, copy or otherwise extract data from the Platform without our express written permission.
• Interfere with the proper functioning of the Platform or attempt to gain unauthorized access.

9. Moderation and Appeals

We maintain a Trust & Safety framework to protect users and ensure fair use of the Platform. The following rules apply to all users.

• Peer blocks. You may block another user or warehouse at any time. Blocks are private and reciprocal: neither party can initiate new direct messages or orders involving the other while a block is active. Existing orders continue.
• Reports. You may report content or behavior that violates these Terms through the report form available on profiles, warehouse pages and in chat. Reports are reviewed by our staff.
• Enforcement. Staff may issue warnings, strikes (1-3 points), suspensions (temporary loss of write access) or permanent bans depending on severity and history. Accumulating 3 strike points within 12 months triggers an automatic suspension pending staff review.
• Appeals. You may appeal any moderation action once within 30 days of issuance by submitting a written statement through your profile. Appeals are reviewed by staff; if not reviewed within 30 days, the appeal is automatically overturned.
• Banned accounts. Banned users retain read-only access to legal pages, billing cancellation, account deletion and the appeal form. In-flight order chats remain open for return logistics.

10. Termination and Suspension

We may, at our sole discretion, suspend or terminate your account or access to all or part of the Platform if we believe you have violated these Terms or applicable law, or if continued access would harm other users, the Platform or us.

When we restrict, suspend or terminate access, we will provide a statement of the reasons for the decision on a durable medium, before or at the time it takes effect, except where we are legally prohibited from doing so, where the decision concerns illegal content or activity, or where we have evidence of repeated infringement of these Terms.

Upon termination, your right to use the Platform ends immediately. We are not obligated to retain or provide you with any data after termination, beyond what is required by law. Sections that by their nature should survive termination - including intellectual property, indemnification, disclaimers, limitation of liability and the General Provisions - survive.

11. Disclaimers and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

To the maximum extent permitted by law, RobForge EOOD, its affiliates, officers, directors and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, goodwill or other intangible losses, even if advised of the possibility of such damages.

Our total aggregate liability to you shall not exceed the total Platform fees we have received from you in the twelve (12) months preceding the claim (or €500, whichever is greater).

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including any non-waivable rights you may have under mandatory consumer protection law.

12. Indemnification

You agree to indemnify, defend and hold harmless RobForge EOOD, its affiliates, officers, directors, agents and employees from any claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or connected with:

• Your access to or use of the Platform;
• Your violation of these Terms;
• Your violation of any third-party right, including intellectual property or privacy rights;
• Any claim that content you submitted caused damage to a third party;
• Any rental agreement you enter into with another user, and any dispute arising from it.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Bulgaria, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts in Sofia, Bulgaria, unless otherwise required by mandatory consumer law (including, where applicable, your right to bring proceedings in the courts of your country of residence).

14. Changes to These Terms

We may revise these Terms from time to time. The most current version will always be posted on this page with an updated "Last updated" date.

Continued use of the Platform after any changes constitutes your acceptance of the new Terms. Material changes that affect Warehouses will be notified at least fifteen (15) days before they take effect; for Renters, we will provide reasonable notice via email or prominent notice on the Platform. You may close your account before the changes take effect if you do not agree to them.

15. Information for Warehouses (Business Users)

This section provides information required by Regulation (EU) 2019/1150 ("P2B Regulation") for Warehouses using the Platform as business users.

• Ranking. Search results and listing visibility on the Platform are determined primarily by relevance to the search query (text match against listing title, description and tags), prop availability, recency, and the Warehouse's plan tier. We do not accept payment in exchange for higher ranking.
• Differentiated treatment. RobForge EOOD does not itself list props on the Platform and does not grant differentiated treatment to its own goods or services compared with those of Warehouses.
• Data access. Warehouses can access, via the Platform, data generated by or about their listings - including aggregate view metrics for their props and collections, their order history, and messages exchanged through the Platform. Personal data of Renters not necessary to fulfill an order is not made available to Warehouses.
• Selling elsewhere. Warehouses are free to offer the same props through other channels and on different terms.
• Internal complaint handling and mediation. RobForge EOOD is a small enterprise within the meaning of Commission Recommendation 2003/361/EC and is therefore exempt from the obligations to operate an internal complaint-handling system and to designate mediators under Articles 11 and 12 of the P2B Regulation. Warehouses with concerns may contact us at legal@robforge.io; out-of-court dispute resolution and access to the courts remain available under section 12 of these Terms.

16. General Provisions

• Entire agreement. These Terms (together with the Privacy Policy and any pricing or plan terms referenced from the Platform) constitute the entire agreement between you and WareRent regarding the Platform and supersede any prior agreements on the same subject.
• Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition or sale of assets.
• Force majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet or utility outages, or third-party infrastructure failures.
• Notices. We may give you notice through the Platform or to the email address associated with your account; you may give us notice at legal@robforge.io.
• No agency. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship between you and WareRent.
